Qualifications: The candidate should have 5-7 years of aggregate experience working as a corporate paralegal preferably at both a global public company and a law firm. Excellent working knowledge of Microsoft Office applications (Word, Excel, PowerPoint, Access). Proficiency in equity administration, legal entity management and related software (Entity Management Systems, Workiva). Experience with Board meetings, communicating with directors, preparing board materials and working with board portals (Nasdaq BoardVantage). Experience in a global company with international legal entities. Ability to work independently and meet deadlines with minimal supervision. Strong sense of accountability, taking ownership over projects and resolving issues proactively with minimal supervision. Ability to follow complex instructions with a high degree of accuracy and attention to detail. Ability to work concurrently on a variety of projects and work effectively under pressure and thrive in a deadline-driven environment. Ability to research, synthesize, and communicate large amounts of complex data. Excellent writing and communication skills. Impeccable organizational skills and proven written and verbal communication skills, including ability to communicate effectively with global senior management.

Job Description:
Senior Corporate Paralegal
The candidate will do preparation of and assist with public company filings, including SEC filings of the proxy statement, Section 16 reports, Form 10-Q, Form 10-K, and Form 8-K. Assist attorneys with the preparation of materials, logistics and minute book recordkeeping for all Board and Committee meetings. Assistance with entity formation, including checking and reserving legal entity names, preparing drafts of Board and stockholder minutes, and preparing drafts of corporate organizational documents. Establish and maintain a worldwide legal entity management system. Assistance with corporate transactions, including due diligence, data rooms, and liaising with local counsel. Prepare statutory filings and coordinate with local counsel and finance group on various financial and legal reporting matters. Communicate and process data with various other external and internal sources (e.g. transfer agents, Human Resources, Payroll, Treasury and Tax). Assist with equity-related projects as needed. Work on other special projects.
