Qualifications: Qualifications: 4+ years legal experience required. Admirable level of professionalism and ease in speaking with and emailing clients to receive information, move matters along, etc. Solid foundation and understanding of corporate ethics issues. Ability to supervise and assist certain administrative and support tasks. Ability to demonstrate business development potential (there will be a preference for candidates who have some portable book of business). Comfortable working in an office or a remote team environment. Self-starter: this person feels internally motivated and comfortable exhausting options and researching issues prior to review by supervising or partners; this person must be the type of lawyer who would be surprised at sending a document for review with any typos or mistakes. Familiar with and fluent in actual deal terms, drafting documents for and running closing processes relating to negotiated financing transactions of various types. Must be able to act as the primary attorney on smaller, routine financing deals and demonstrate independence and excellence in managing the deal process from start to finish. should have demonstrated exceptional skills throughout their academic and professional career.

Job Description:
Corporate Securities Associate
Duties: Overseeing projects from start to completion and drafting and reviewing documents without making any mistakes. Drafting complex interrelated documents. Securities Reporting - mastery of rules and regulations related to securities reporting including 10-Q s, 10-K s, 8-Q s, etc. Securities mastery of rules and regulations relating to private placement transactions and deal documents (venture capital financings, private equity and the like). Some familiarity and experience with public company securities reporting and drafting is expected. Preparing private placement memoranda based on boilerplate forms. Corporate mastery of all things corporate (board fiduciary duties, general corporate agreements, board and stockholder actions, miscellaneous contract drafting, etc.) is an absolute must-have foundational skill to operate in this environment. Someone has been trained on these issues and can demonstrate experience working for serious companies in corporate matters. M&A some experience providing due diligence and drafting support on merger and acquisition transactions is required. Licensing/Internet Agreements some experience or understanding of internet agreements and/or licensing agreements is a plus.
